Legal Sales Agreement

Terms & Conditions

Effective Date: June 26, 2026. This document constitutes a binding trade contract between Naniac Globals LLC and all buyers.

1. Acceptance of Terms

By engaging in trade, requesting price sheets, submitting inquiries, or issuing purchase orders, the buyer agrees to be legally bound by these terms. Any variance proposed by the buyer is rejected unless agreed to in writing by an authorized officer of Naniac Globals LLC.

2. Custom Manufacturing and MOQs

Naniac specializes in bespoke commercial furniture production. Minimum Order Quantities (MOQs) apply to all wholesale trade pricing and container lot orders. Order modifications or specifications are locked in once manufacturing drafts are signed and the initial deposit is processed.

3. Payment Terms and Financial Security

Payment protocols must follow one of these structures:

  • Telegraphic Transfer (T/T): 50% advance deposit at order booking, with the remaining 50% due upon presentation of the Bill of Lading (B/L) and shipping documents.
  • Letter of Credit (L/C): Irrevocable Letter of Credit confirmed by a reputable international bank, payable at sight.

All bank fees and transfer costs are the responsibility of the buyer. Late payments may delay production runs and incur demurrage charges at the port of origin.

4. Transfer of Risk & Incoterms 2020

Unless explicitly negotiated otherwise on the proforma invoice, all international sales are shipped under **FOB (Free on Board) Port of Oakland or Port of Savannah**, or **CIF (Cost, Insurance, and Freight)** destination port. Risk of loss or damage passes to the buyer once goods are cleared and loaded past the ship's rail at the designated port of origin.

5. Wood Acclimatization and Natural Variation

Wood is a natural, hygroscopic material. Solid furniture furniture retains moisture and adapts to its environment. Buyers acknowledge that natural grain variations, small knots, and minor color shifts are inherent characteristics of premium hardwoods and do not constitute manufacturing defects. The buyer is responsible for ensuring appropriate climate control (relative humidity between 35% and 55%) upon delivery to prevent splitting or warping.

6. Force Majeure

Naniac Globals LLC is not liable for manufacturing or delivery delays resulting from acts of God, war, civil unrest, export restrictions, port closures, shipping strikes, furniture shortages, or unforeseen logistics delays.

7. Governing Law and Dispute Resolution

This contract shall be construed and enforced in accordance with the laws of the **State of Missouri, USA**, without reference to its conflict of laws principles. The parties agree that the United Nations Convention on Contracts for the International Sale of Goods (CISG) is excluded. Any legal actions or proceedings must be initiated in courts located in Cass County, Missouri.
